Er, no. Not even close.
Martian Manhunter is a green martian with shape-shifting powers who who seems to wear as little clothing as possible to show off his huge, green body.
Spawn is a dead african-american GI who made a deal with the devil to see his wife again and was resurrected as the hell-spawned anti-hero Spawn who must then struggle to reclaim his humanity and avoid his fate of leading hell's army.
And Spawn is owned by Image comics, not DC.

Actually, MM got a new costume a year or two ago that covers him up a lot more. And he's not JUST a shapeshifter, he's also DC's foremost psychic.

As far as confusing characters; Spawn's particularly similar, in function, to Venom, who McFarlane "co-created" as the artist at the time. (Adding teeth, drool, and crazy eyes to the black costume).
Marvel arguably bit-back with an incredibly similar character called Nightwatch, whose living costume looked more like Spawn's.

Nah, I stand corrected. It is TMP that own's Spawn. Image as we know it is pretty much dead since most of the creative team left, but, c'mon, with talent like Rob Liefeld, I'm amazed it lasted as long as it did.

Also, Image have never owned characters or materials.
Individual creators retain full rights and ownership of all of their work.
